Legal status: A Hong Kong limited company is a legal entity and has independent legal status.

Debt liability: Debt is capped at the total amount invested by the shareholders. If the company is in debt, the shareholders are not required to make a separate capital contribution to repay the loss.

Tax rate: Currently, there is a two-tier profits tax system, with the first HK$2 million of a corporation taxed at 8.25% and subsequent profits taxed at 16.5%; for unincorporated businesses that are sole proprietors or partnerships, the two tiers of profits tax rates are 7.5% and 15% respectively; if a company does not make a profit, it is not liable to pay profits tax.
