II. Details of Business Registration Certificate Fees in 2025

Updated Fee Structure

Starting from April 1, 2024, the Business Registration Certificate fee will be adjusted to HK$$2,200 (for one-year certificate) and will remain unchanged in 2025-26. The fee consists of two parts:

  • Business Registration Fee: Government administrative processing fee.
  • Levy: For "Protection of Employees' Unpaid Wages Fund" but Levy $150 for 2025-26 continues to be exempted till 31.3.2026.

C. Who can waive the Business Registration Certificate fee?

Exemptions are strictly limited:

  • According to the Inland Revenue Department of Hong Kong (IRD), exemption can only be applied for if the following conditions are met:
  • Unlimited companies only: Limited companies, relocated companies, open-ended fund type companies, etc. are not eligible.

Turnover threshold:

  • Service business: Average monthly turnover ≤ $10,000
  • Other business: Average monthly turnover ≤ $30,000
  • Limitations on the number of businesses: A sole proprietor or the same partner may not carry on more than one business at the same time.

Points to note for waiver applications:

  • Application time limit: Existing business should be submitted 1 month before the expiry of the registration certificate; new business should be applied within 1 month after registration.
  • Documentation Requirement: Business records for the past 6 months (for existing business) or estimated turnover for the first 6 months (for new business) are required.
  • Annual Reapplication: The waiver is valid for only 1 year and must be submitted annually.
